Article 2 – The new duties of systems suppliers.

Research on tens of thousands of new IT systems has shown that less than 30% are ever delivered on time, on budget and according to what was promised. A massive 73% cost more than twice their original budget AND take more than twice as long to implement as planned. This is the second in a series of six articles by David Craig showing how you can ensure that your new IT system works on time and on budget.

In this article, I’m going to start talking about the legal obligations on IT systems suppliers to deliver what they have promised. Please, please do not switch off – this is hugely important. This is not for lawyers. This is essential information for any organisation (in the public and private sectors) which is buying or has bought IT systems.

Over the last ten years there have been over a hundred court cases which have defined the duties and responsibilities of suppliers of IT systems. These have meant a massive change in the law which provide a large degree of protection for organisations buying IT systems. However, few organisations know about these changes and even those that do know about them do not understand how to benefit from them. In this article we will just focus on the duties of IT suppliers who represent themselves as ‘specialists’ or ‘experts’.

Most IT suppliers claim to be ‘experts’ or ‘specialists’ in some area – finance systems, ERP systems, CRM, warehouse/stock management or whatever. One large consultancy, for example, claimed on its website that all its 10,000 or so consultants were ‘specialists’. While most of us would probably view such claims as just marketing puffery, in the eyes of the Law calling yourself an ‘expert’ or ‘specialist’ or ‘professional’ immediately places significant duties of ‘reasonable care’ on you in terms of the advice and services you provide to your clients.

Typically, if you ask an IT supplier or consultant to respond to a Request for Proposal (RFP) or an Invitation to Tender (ITT) to provide a new system, most suppliers just tick the boxes on the tender document and, providing the price is reasonable, you will choose the supplier who ‘ticks the most boxes’ – the one whose system appears to be closest system to what you think you need.

However, the Law says that potential suppliers must do much more than confirm which of your requirements their system will meet. According to the law, if a supplier represents themselves as having specialist knowledge or expertise, they must tell you three key things:

1. What they are going to provide to meet your needs
2. What they not going to provide
3. Any ‘consequential effects’ of what they not going to provide

This all means that if there are areas of your RFP or (ITT) which a supplier will not provide, the supplier must both highlight those areas for you and explain to you whether the areas their system will not cover have any ‘consequential effects’ on the overall functioning of their system in your organisation. Most suppliers never do this and buyers are not even aware that the supplier should be identifying any gaps between what they want and what the suppliers are proposing and whether these gaps will have any significant effect for the system.

But there’s much more than that! The Law puts further duties on suppliers who represent themselves as ‘specialists’ or ‘experts’. If your organisation has omitted some key feature of a proposed system from your tender document, the supplier has a ‘duty of reasonable care’ to inform you that the feature is missing and what effect this will have on your system’s success. For example, if you are putting out a tender for a finance system and your tender document does not mention the need for a ‘trial balance’ facility, your supplier, as a specialist in finance systems, has a duty of reasonable care to inform you that the trial balance feature is missing from your tender document and the effect that this omission will have on your future finance system’s viability.

According to the Law, if you buy a system and there are problems (delays, cost over-runs etc) due to the fact that the supplier has not warned you in advance of an issue that they as a specialist could reasonably have been expected to have anticipated, then the supplier MUST correct these problems at the supplier’s own expense. Surprisingly few organisations buying IT know about the duties of suppliers who represent themselves as specialists and thus fail to benefit from the protection these duties offer systems buyers.

Your IT systems supplier will always try to pass the responsibility for any problems onto you – but the Law says that if the supplier as an ‘expert’ could have reasonably anticipated the problems, then the suppplier must fix them at their own cost.

Plus, I use my profit to live on.

o Please pay me at the times we agreed upon. When you pay late, it can cause personal problems for me. I really can’t wait 30 days or more after a project concludes for my payment.

o You are an absolute priority for me but sometimes I cannot be available as I attempt to be all things, to all people, at all times. Remember this when I agree with a smile in my voice to schedule our weekly call on Sunday evenings at 10:00 pm after you’ve put your kids to bed.

o Let’s define the scope of work you want me to do. I understand the need to be flexible, agile, and roll with the punches, but a direct relationship exists among scope, time, and fees. When you add to my workload I have to invest more time. Understand, I do want all of your business that I can manage, but I may have to charge more if I take on additional work.

o Let’s agree what success looks like for me . . . and for you. If we agree to expectations and goals, I will have a clear target to exceed.

o Know how to use me before you hire me. Be available to me. We’re in this together. Don’t engage me and fade away leaving me to wonder if I’ve disappointed you.

o Don’t be offended if I put our agreement in writing. While I believe in the strength and the integrity of the handshake, as time goes by, the detail of what each of us agreed to may fade.

o You’re asking me to reduce my profit? When you read my proposal you asked for a reduction in price but weren’t willing to reduce the scope of the project. Same work for less money. The profit margin is what I use to make my house payments, buy groceries for my family, gasoline, clothing, and pay college tuition.

o I’m in the service business, but I’m not a servant. I am as expert in my fields as you are in yours. Engage me for my expertise because you are convinced I have something you need.

o Have the courage say “No.” When I’m pitching your business and I get “buy” signs, I will show my eagerness to get started. I’ll float new ideas to you. Generate work product to show value. When you suddenly stop answering the phone, I feel used.

o Let me do the work you hired me to do. Empower me with your team. Don’t put me in a position where I have to defend my services to your team and fight for implementation or to be heard.

o Don’t hire me for my expertise and tell me why everything I propose won’t work. You wanted “fresh eyes” and my advantage is I’m not bogged down in the weeds of inertia. I’m not politically paralyzed. I can see the forest and the trees! At the same time!

o Don’t withhold information from me during an RFP. I’m a newcomer to your business and to really develop a strong proposal that will benefit you, I need your help. Don’t get so hung up on supposed “fair bidding practices” that you forget we are all bidding for the chance to make your business better. I can’t offer you the full impact of my expertise without specific and complete information. Information makes me strong. You want me strong. This isn’t a game. RFPs should never be about “I want to see what you come with.” Two weeks after you award me your business and I’m into the project, I’ll be a lot smarter. You’ll see me work my magic and be glad you hired me. Until that point, bury me with information to make my proposal stronger.

o Give me a shot at something small but tangible to start a relationship. If you have an incumbent supplier you like – good for you and good for them! I fully understand you’ve invested intellectual capital in that relationship and are hesitant to start over. And they must be doing something right. But, someday, you’ll want a fresh approach or your supplier may not have capacity or availability for something you need done. Invest in me for tomorrow and I’ll be waiting in the wings without need of a ramp-up.

o Understand my value as well as my price. Someone who always say they can do it cheaper. Look beyond price to my reputation, to my satisfied clients, to my position in the industry. Factor your risk. Cheap is cheaper but seldom better.

o I’m in this business because I want to be. I believe in you and your business or I wouldn’t be pitching you. I’m defined, in part, by the status of the clients I serve. I’m proud to be working with you. I genuinely feel I can make a difference in your business and I will do anything to become indispensable to you. So, run to me. Open up to me. Embarrass me with your praise when I astound you. Because, together we can do amazing things.

Great business is based on relationships characterized by moments of inspiration and moments of despair. Relationship implies a personal as well as professional connection, emphasis on connection. It is important for both Contractor and Client to hear what’s spoken as well as to sense what’s not being said.

To thrive in a business juncture, we must develop a connection of trust, openness, and respect, understanding that as humans we often don’t say what we feel. Yet, it is this trait of feeling that differentiates us and makes us vibrant in the business world.

Feeling makes us care. Caring makes us passionate. Harness that energy and you can accomplish anything. Think of the power we could generate if each of us was open and truthful to each other as we leveraged our combined passions, because, need I remind you . . . it all starts with us!

The Secret of the Relational Life – Consultation, Communication, Compromise

Relatedness is something we cannot get away from in our world. Those who successfully relate with people, situations, and their environments have the most success in life. Much of this success relies upon these three C’s: consultation, communication, and compromise.

When we effectively consult, our communication is enhanced and relational compromise is therefore possible. Where we forget or choose not to consult our communication is fraught with active failure, because the vital relational compromises are not known or made.

I was reminded of this recently. Having drafted an eloquent bulk e-mail, without consulting my wife where she would have helped, I sent it in good faith – but the action was ill-advised. It wasn’t the right time or medium to use. I wasn’t in the right place to send it. And the message could have been tidied up with consultation. Most importantly, consultation would have been a good check on the overall appropriateness of the message.

One of the eternal lessons of life is the necessity to consult as a precursor to effective communication, which will then allow important relational compromises to be made, because we are aware of needs.

THE ACTUAL SCIENCE AND BENEFITS OF CONSULTATION

Effectual consultation is perhaps the crown jewel of relationships. It is the golden ring for the maintenance of trust; it’s the clarity, cut, carat, and colour of respect; the glittering solitaire making up rapport.

Consultation is always about the other party; about understanding them and establishing their needs, which provides for the overall success of ventures. It’s no good getting what we want it doesn’t fit with others’ sight for things, expectations and needs.

When we know others’ needs, and we have their insight and wisdom, we make better decisions. Our decisions are more inclusive and much more workable.

Consultation may not be much more than an inquisitive desire to discover what lies unknown to us underneath. We cannot see everything. When we consult we think less arrogantly and ignorantly. Consultation is proof of relational humility. It’s a sign of wisdom that we don’t know all of the steps we need to take, how to take them, and when to take them.

Wherever we implement the curiosity of consultation we have better results in life – in our relationships, environments, and living situations.

With less conflict in our lives we live happier and more content. Peace becomes us because our world is in harmony. We know where we stand and so do the people we relate with.

Consultation is the masterstroke of communication because it achieves important compromises. When we consult, trust, respect, and rapport are victors. Everyone is happier when consideration finds its legs in consultation.

When we have a healthy relationship with Jesus Christ we have a desire to consult because his love motivates us. We see a bigger world and we want better outcomes for all.
